Asset sale vs. equity sale: what business owners should ask

Understand the practical questions behind an asset sale or an ownership-interest sale, including contracts, liabilities and tax review.

The structure changes what transfers

An asset sale generally transfers specified assets and agreed liabilities. An equity sale transfers ownership interests in an entity. Stock sales are one form of equity sale; the appropriate terminology depends on the business's legal structure.

These descriptions are only starting points. Neither structure automatically produces a clean exit from every obligation or a particular tax result. The legal entities, agreements, assets and jurisdictions involved can materially change the analysis. Independent legal and tax advice is essential before agreeing to a structure.

Look at the operating consequences

A transaction must account for the resources the business needs to continue operating. Contracts, premises, permits, customer relationships, employees and intellectual property may need separate attention. Some arrangements may require consent to assignment or a change of control, depending on their terms and applicable law.

Owners should ask what is included, what is excluded and what remains with them after closing. Do not assume that the ordinary use of an asset or trading name proves that the seller can transfer every relevant right without further steps.

A hypothetical consent issue

A business relies on a key customer agreement. The parties focus on price but later discover that the contract contains provisions affecting the proposed transaction. The required review and any consent process may influence timing or the structure under discussion.

This hypothetical example does not imply that every contract needs consent, or that one structure avoids all approvals. The actual agreement and applicable law control the analysis.

Questions for your advisers

  • Which assets, ownership interests and liabilities are expected to transfer?
  • Which obligations could remain with the seller?
  • What contractual, licensing or other approvals need to be examined?
  • How does the structure affect tax treatment and expected net proceeds?
  • What happens to the existing entity after completion?

Align the structure with a workable sale

A well-considered structure connects the commercial agreement with the practical requirements of transferring the business. Addressing contracts, included assets and approvals early helps the parties plan an orderly handover. In qualifying asset transfers, IRS Form 8594 instructions address allocation of consideration among assets; your tax adviser can explain applicability and the effect on net proceeds.

Blue Aries Ventures evaluates acquisition structures around the business and the agreed transaction. We can discuss the commercial objectives with you and your advisers, then work through the steps needed to transfer ownership. The aim is a structure both sides understand, with operating continuity and the owner's next chapter considered together.
