Commercial property refinancing: what to review before approaching lenders

Prepare for a commercial real estate refinance by reviewing operating cash flow, leases, upcoming costs and the existing loan terms.

Start with the property and the maturity date

Commercial property refinancing replaces an existing debt obligation with a new arrangement. Owners should understand the current loan's maturity, notice requirements, payoff provisions and other commitments before focusing on a new quoted rate. The availability and suitability of financing depend on the property, borrower and lender's review.

Begin early enough to identify missing information and consider alternatives. A refinancing plan built around a single expected valuation or perfect execution leaves little room if operating performance changes or a provider declines the request.

Separate current performance from expectations

Prepare a clear picture of collected income, operating expenses, occupancy and lease terms. Explain unusual items rather than simply removing costs that make the property look less attractive. Prospective rent increases and leasing assumptions should be distinguished from performance already demonstrated.

Net operating income and cash available to the owner are not interchangeable. Debt service, capital expenditures, reserves and other commitments can materially affect cash beyond the operating statement. Lenders may adjust the figures according to their own underwriting approach; a presentation should make the assumptions traceable.

A hypothetical refinancing gap

An owner expects higher rents to support refinancing at maturity. Several leases are near renewal, and a major repair will require cash before those rents are realized. If a lender relies on current income rather than the projected increase, the available loan may be lower than the owner expected.

The business decision then includes the owner's liquidity, repair plan and alternatives, not simply a search for a different interest rate. This hypothetical scenario does not predict lending terms, valuation or an approval outcome.

Prepare a coherent information set

  • The current loan documents, maturity date and known payoff requirements.
  • A current rent roll and leases that explain the income assumptions.
  • Operating statements that reconcile to supporting records.
  • Upcoming repairs, capital spending and tenant-related commitments.
  • A realistic view of borrower liquidity and potential cash needs at closing.

Compare the full financing arrangement

Review amortization, maturity, covenants, reserves, recourse and transaction costs alongside the rate. A lower initial payment may come with other commitments that change the owner's flexibility. Counsel and tax advisers should review the relevant legal and tax consequences.

The OCC's commercial real estate lending handbook describes lender considerations including property cash flow and debt service capacity. It is not a promise that any lender will use a particular threshold. Blue Aries Ventures can help organize the operating story and capital-readiness questions for a refinancing conversation, with financing subject to provider review and approval.
