When a business sale depends on SBA financing

Understand the business questions behind an SBA-financed offer without relying on a generic lending formula.

Understand the lender’s role

The SBA 7(a) program provides guarantees to participating lenders and can support eligible ownership changes. An application is made through a lender. Eligibility, approval and the terms of a particular transaction require assessment; an article or preliminary conversation is not a lending commitment. SBA information on the 7(a) program.

Consider what the process means for your sale

For an owner, financing can affect the information requested, the conditions to completion and the proposed timing. It is worth understanding which parts of the buyer’s plan remain uncertain. Avoid building personal or business commitments around an assumed approval date.

Keep the transaction-specific questions with specialists

Rates, guarantees, eligibility rules and acceptable arrangements can change. Current requirements should be confirmed with the lender and appropriate advisers. Blue Aries Ventures can discuss owner priorities and business readiness, while the actual financing decision remains with the lender. We do not promise approval or publish a standard deal structure.

Financing eligibility is not the same as an approved transaction

A buyer discussing SBA-supported financing has not necessarily secured the money to close. A lender still evaluates the borrower, business and proposed transaction within the applicable program requirements. Sellers should understand the outstanding conditions and the role financing plays in the proposed timeline.

A hypothetical seller may receive an attractive proposal while the buyer has only had an introductory lender conversation. That does not make the proposal worthless, but it changes the level of certainty. Ask what has actually been confirmed and which decisions remain. Do not treat a financing label as a guarantee of approval or completion.

Questions for business owners

  • Has the buyer identified the conditions to financing?
  • Which commitments should wait until there is greater certainty?
  • Who will explain the implications of the proposed terms?
